Terms of Service

01Acceptance of Terms

These Terms are a binding agreement between you and Cadastra (“Cadastra,” “we,” “us,” or “our”). By creating an account, selecting a box indicating acceptance, accessing, or using the Service, you agree to these Terms and the policies incorporated by reference. If you use the Service for an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

If you do not agree, do not create an account or use the Service.

02Eligibility

You must be legally capable of entering into a binding contract under applicable law. If you act for a firm, company, government office, or other organization, you must have authority to accept these Terms for it.

You are responsible for complying with all laws, professional standards, permit requirements, agency rules, and regulations applicable to your work, including rules governing surveying, land registration, professional practice, records, and data protection.

03User Accounts

You must provide accurate, current information and keep it updated. You are responsible for safeguarding credentials, restricting access to your devices, and promptly notifying us of suspected unauthorized access. You are responsible for activity performed through your account to the extent permitted by law.

Accounts are for individual users. You may invite authorized members to an organization workspace, but you may not share credentials, allow multiple people to use one account, sell an account, or transfer an account without our written approval. Organization owners and administrators may manage member access and project permissions.

04License Grant

Subject to these Terms, the applicable plan, and payment of all fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service for your internal professional or business purposes during the applicable subscription or access period.

The Service is licensed, not sold. No ownership interest in the Service, software, documentation, or underlying technology is transferred to you.

05Payments

Pricing. Prices, plan limits, access periods, and included features are those displayed at purchase or stated in an order form. A Practice Pass is a one-time purchase for the stated 30-day organization access period and renews only when an authorized member manually purchases another period. A Project Pass is a one-time permanent unlock for the identified project. We may change prices for future purchases.

Processing and authorization. Payments may be handled by a third-party payment processor. You authorize us and our processor to charge the payment method you provide for the one-time purchase disclosed at checkout. You must use a payment method you are authorized to use.

Taxes. Fees exclude taxes unless expressly stated. You are responsible for applicable taxes, duties, and government charges, except taxes based on our net income.

Refunds. Except where an order form, published refund policy, or mandatory law provides otherwise, fees already paid are non-refundable and unused periods are not credited. Nothing in these Terms limits a non-waivable consumer right.

Failed payments. If payment is late, declined, reversed, or disputed, we may retry the charge, restrict paid features, suspend access, or terminate the affected subscription after any notice or cure period required by law. You remain responsible for amounts properly due.

06Pass and Project Licensing

Creation, activation, access, and use of projects may be subject to the Practice Pass or Project Pass purchased by your organization. The Pass and Project Licensing Policy is incorporated into these Terms. Pass licensing governs access to Service functionality; it does not transfer ownership of your Project Data or properly generated exports.

07Acceptable Use

You may not, and may not help another person to:

• copy, modify, reverse engineer, decompile, disassemble, discover source code, or create derivative works from the Service, except to the limited extent a restriction is prohibited by law;
• bypass license controls, usage limits, authentication, security measures, payment controls, or technical restrictions;
• resell, rent, lease, sublicense, time-share, or provide the Service to an unauthorized third party;
• introduce malware, probe vulnerabilities, disrupt the Service, gain unauthorized access, or use it for fraud, unlawful surveillance, harassment, or other malicious or illegal purposes;
• use bots, scrapers, scripts, or other automated means that place an unreasonable load on the Service or extract data without our written permission;
• use stolen, fraudulent, or unauthorized payment methods; or
• upload or process material you do not have the right to use, or infringe privacy, intellectual-property, confidentiality, or other rights.

08Intellectual Property

We and our licensors own the Service and all related software, source code, algorithms, interfaces, designs, documentation, trade names, trademarks, logos, and other intellectual property. Except for the limited license in these Terms, all rights are reserved.

You retain ownership of the survey, drawing, report, document, image, and other project content you or your authorized users submit to the Service (“Project Data”). As between you and us, you also own exports generated from your Project Data, excluding our software, templates, branding, and other pre-existing materials embedded in or required to generate them.

If you provide feedback, you grant us a perpetual, worldwide, royalty-free right to use it without identifying you or disclosing your confidential Project Data.

09User Data

You retain your rights in Project Data. You grant us and our service providers a limited, worldwide license to host, copy, transmit, display, transform, back up, and otherwise process Project Data only as needed to provide, secure, maintain, support, and improve the Service; comply with law; and enforce these Terms.

You represent that you have all rights and lawful bases needed to submit and process Project Data, including personal information about clients, landowners, professionals, or other persons. Our handling of personal data is described in the Privacy Policy.

10Availability

We aim to keep the Service available, but maintenance, upgrades, security events, internet or provider failures, force majeure events, and other interruptions may occur. We may perform scheduled or emergency maintenance and may modify or discontinue features.

Unless a separate written service-level agreement expressly applies, we do not guarantee uninterrupted access, error-free operation, a particular response time, or any uptime percentage.

11Professional Responsibility and Accuracy

The Service assists with drafting, calculations, data organization, and document production. Results depend on the accuracy, completeness, coordinate reference system, assumptions, settings, and instructions supplied by users. Automated checks cannot identify every error or professional issue.

You—and not Cadastra—remain responsible for independently reviewing, validating, signing, sealing where required, and approving all work product, including:

• survey observations, coordinates, bearings, distances, closures, adjustments, and area computations;
• plans, drawings, boundaries, adjoining parcels, and monuments;
• technical descriptions, field notes, reports, certificates, and exported documents;
• source records, title and cadastral information, coordinate systems, and project assumptions; and
• compliance with PRC requirements, professional standards, agency specifications, land-registration rules, permits, and all other regulatory requirements.

The Service does not provide legal, surveying, engineering, title, or regulatory advice and does not replace professional judgment. You must maintain appropriate review procedures and backups before relying on or submitting any output.

12Disclaimers and Limitation of Liability

To the fullest extent permitted by law, the Service is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and warranties arising from course of dealing or usage.

To the fullest extent permitted by law, Cadastra and its owners, personnel, affiliates, and suppliers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits or revenue, loss or corruption of data, business interruption, project delay, survey or drafting error, rejected government or agency submission, loss of opportunity, or the cost of substitute services, even if advised that such damage may occur.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the fees you paid for the Service during the twelve months immediately before the event giving rise to the claim.

These exclusions and limits do not apply where liability cannot lawfully be excluded or limited, including rights and remedies that applicable consumer law makes non-waivable.

13Suspension and Termination

You may stop using the Service at any time. Practice Passes do not renew automatically. Stopping use does not by itself create a refund for amounts already paid.

We may restrict, suspend, or terminate access if we reasonably believe there is fraud, abuse, a security risk, non-payment, unlawful conduct, a material breach of these Terms, or conduct that threatens the Service or another person. Where practicable and legally appropriate, we will provide notice and an opportunity to cure.

Upon termination, your license ends. Provisions that by their nature should survive—including payment obligations, ownership, disclaimers, limitations of liability, and dispute terms—will survive. Project Data may be deleted in accordance with our retention practices and Privacy Policy, so you should export needed records before access ends.

14Changes to These Terms

We may update these Terms to reflect changes to the Service, law, security practices, or our business. The effective date and version at the top identify the current Terms. For material changes, we will provide reasonable notice through the Service, by email, or by another appropriate method before the changes take effect when required by law.

Your continued use after updated Terms take effect constitutes acceptance, to the extent permitted by law. If you do not agree to an update, you must stop using the Service before it takes effect.

15Governing Law and Venue

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles.

Subject to mandatory consumer and procedural law, any court proceeding arising from these Terms or the Service shall be brought in the proper courts having jurisdiction over the principal place of business of Cadastra in the Philippines. The parties will first attempt in good faith to resolve a dispute through written notice and discussion.

16General

These Terms, the policies incorporated by reference, and any applicable order form are the entire agreement concerning the Service. If an order form conflicts with these Terms, the order form controls only for that order. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will continue in effect. A failure to enforce a provision is not a waiver.

You may not assign these Terms without our written consent. We may assign them in connection with a merger, reorganization, sale of assets, or by operation of law. Neither party is liable for delay caused by events beyond its reasonable control, except payment obligations.
